What is the portion of the brain lying beneath the cerebrum and above the brainstem?

Cerebrum is synonymous with telencephalon, and the brain stem includes the mesencephalon, so the singular possibilities are the entire diencephalon or some portion of it. There are sources that differ on the definition of brain stem, but I think within general the brain stem is considered to extend single through the mesencephalon. So my answer would be the diencephalon.
